Contract Drafting:
“Pacta sunt servanda”. A contract is an agreement between two or more parties in which each of them undertakes to perform things or gives mutual promises to be implemented by the law. Based on this rule, we prepare and draft all types of contracts, in precise terms that ensure no misunderstanding to avoid future disputes. Where the legal structure of the contract is tight, the opportunity for disputes diminishes, especially in ongoing contracts. Often a party to the contract believes that it has been prejudiced due to the lack of clarity as to such party’s rights in the contract. Here this party actively seeks means that exempt it from its obligations, such as claiming not having read the contract in detail, that it has committed an error, or that it was a victim of exploitation or fraud, in an attempt to nullify or rescind the contract, which threatens the binding force of the contracts, and destabilizes stable positions
Therefore, it is not wise to have the terms of the contract focus on the rights of one party while ignoring the rights of the other, or to have all the terms of the contract in favor of one party at the expense of the other.
